Areas of Practice

Commercial contracts and finance documents.

Two closely related practice areas: the contracts that build projects, and the documents that fund them.

Construction & Commercial

Drafting and reviewing contracts

Contract Drafting

Head contracts, subcontracts, consultancy and supply agreements, deeds of variation, side deeds and settlement deeds — drafted to reflect the commercial deal.

Contract Review

Clause-by-clause review returned as a plain-English schedule of issues: what the risk is, why it matters, and the amendment to ask for.

Construction Projects

Payment and progress claim regimes, time bars, extensions of time, liquidated damages, defects liability, retention and security of payment.

Finance

Loan documentation and independent advice

Loan Documentation Review

Facility agreements, term sheets, general security agreements, mortgages and priority deeds — reviewed against the terms you were offered.

Guarantees & Indemnities

Review and explanation of personal and corporate guarantees, indemnities and covenants, including what recovery looks like in practice.

Independent Legal Advice

Signed ILA certificates for borrowers, guarantors and directors, issued in the form your lender requires and in time for settlement.

How It Works

A clear process, start to finish.

Scope and fee are agreed before work starts, so there are no surprises on the invoice.

  1. 1

    Send the documents

Email the contract or loan pack with your deadline. You'll get confirmation of scope and fee, usually the same day.

  2. 2

    Review and advice

A written schedule of issues, or a drafted agreement, followed by a call to work through the points that matter.

  3. 3

    Negotiate or certify

Amendments negotiated with the other side, or your independent legal advice certificate signed and sent to the lender.
